These Terms of Service (“Terms”) govern your access to and use of our website, web application, APIs, and related services—including our drag-and-drop workflow editor, agent nodes, real-time collaboration, and integrations (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to accept these Terms on its behalf.
To use certain features, you must create an account and keep your information accurate and up to date.
You must be at least 18 years old or the age of majority in your jurisdiction.
You are responsible for all activities under your account and for safeguarding your credentials.
Notify Wingerx immediately of any unauthorized use or suspected breach of security.
If you sign up on behalf of an organization, “you” includes that organization, and you represent that you have authority to bind it to these Terms.
The Services may use workspaces with role-based access controls.
Workspace owners/admins manage membership, roles, permissions, and data retention.
Admins may view, modify, export, or delete workspace content and logs.
We are not responsible for internal disputes about workspace ownership or access; we follow the controls set by workspace admins.
If there is a conflict between these Terms and a separate, signed agreement with your organization, the signed agreement governs for that workspace.
You agree to use the Services lawfully and respectfully, without harming the platform or others.
No illegal, harmful, or abusive activity; do not infringe intellectual property or privacy rights.
No malware, exploits, automated scraping (except via permitted APIs), or denial-of-service attempts.
No attempts to bypass rate limits, security, or access non-public areas of the Services.
No content or workflows that exploit or harm minors, promote violence, or constitute harassment or hate.
You must comply with all applicable laws, including data protection, export controls, and sanctions.
You retain ownership of content you upload, build, or process through the Services (“Customer Data”).
Wingerx does not claim ownership of Customer Data; you grant us a worldwide, non-exclusive, revocable license to host, process, transmit, and display Customer Data as necessary to provide and improve the Services.
You are responsible for obtaining all rights and consents needed to process Customer Data (including data from connectors you enable).
Do not upload prohibited or highly sensitive data unless you have a lawful basis and appropriate safeguards.
You acknowledge and agree that admins of your workspace may control access, retention, and deletion of Customer Data.
We collect limited technical and usage information to operate, secure, and improve the Services.
Service Data may include device/browser info, logs, performance metrics, execution statuses, and error traces.
We use Service Data for security, diagnostics, analytics, and product improvements.

Agent nodes may call third-party AI services. You control what is sent from your workflows.
Prompts, inputs, and outputs may be transmitted to a chosen model provider to fulfill your requests.
Wingerx does not permit model providers to train on your content unless you or your organization opt in or enable such options.
You are responsible for ensuring that your use of AI features complies with applicable law and third-party terms.
We may log metadata (timestamps, token/latency metrics, status codes) to operate and protect the Services.
You may connect third-party tools (databases, APIs, webhooks, analytics, payments, etc.).
Third-party services are governed by their own terms and privacy policies.
Wingerx is not responsible for third-party services and does not control their availability or behavior.
You are responsible for the configuration, permissions, and data shared with such services.
Disconnect any integration you no longer wish to use.
We may offer APIs and programmatic access to the Services subject to usage limits.
Do not exceed published or implicit rate limits; we may throttle or suspend abusive usage.
Use only documented, permitted endpoints; no scraping or reverse engineering.
API keys are account-bound secrets; keep them confidential and rotate if compromised.
We may modify APIs with notice and deprecate older versions over time.
Wingerx offers free and paid tiers with feature and usage limits as described at checkout or in-app.
Subscriptions auto-renew unless canceled per your plan terms.
We may change prices or limits with prior notice before renewal; changes do not affect the current term.
Unless stated otherwise, fees are non-refundable once a billing period begins (subject to mandatory law).
You are responsible for applicable taxes; we may collect and remit where required.
Trial or beta access may end or change at any time.
We strive to provide reliable, high-availability service but cannot guarantee uninterrupted operation.
Planned maintenance and upgrades may temporarily affect availability; we aim to provide notice where practical.
We may modify or discontinue features to improve reliability or security.
Support channels and SLAs (if any) are described in your plan or a separate agreement.
We may offer preview, alpha, beta, or experimental features.
Beta features are provided “as is,” may be subject to additional terms, and may be modified or discontinued at any time.
Data loss or instability risks may be higher; use at your discretion and keep backups.
Wingerx and its licensors own all rights in the Services (software, UI, documentation, logos).
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Services for your internal business purposes.
You may not copy, modify, distribute, sell, or lease any part of the Services, nor reverse engineer or attempt to extract source code except as permitted by law.
Open-source components are licensed under their respective licenses.
We welcome feedback, ideas, or suggestions to improve the Services.
If you submit feedback, you grant Wingerx a non-exclusive, worldwide, royalty-free, perpetual license to use it without obligation to you.
We may use feedback to improve or develop new features.
Each party may access the other’s confidential information while using the Services.
You and Wingerx will protect confidential information using reasonable safeguards.
Confidential information excludes data that is public through no fault, already known without restriction, independently developed, or rightfully disclosed by a third party.
We may disclose confidential information if required by law, with reasonable notice where permitted.
We implement technical and organizational measures to protect personal data. Our Privacy Policy explains how we process personal data and your rights.
You must comply with applicable data protection laws when submitting or connecting Customer Data.
A separate Data Processing Addendum (DPA) may apply when we process personal data on your behalf.

We respect intellectual property rights and will respond to notices of alleged infringement.
If you believe content infringes your rights, send a notice to: [email protected] with details of the work and the allegedly infringing material.
We may remove or disable access to content and may terminate repeat infringers where appropriate.
We may suspend or terminate your access to the Services if you breach these Terms or if required by law.
We may suspend immediately to address security risks, legal obligations, or abusive activity.
You may terminate at any time by canceling your subscription and ceasing use of the Services.
Upon termination, your license ends and access may be disabled; certain provisions survive (e.g., IP, confidentiality, disclaimers, limitations of liability).
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, Wingerx DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
You are responsible for maintaining appropriate backups of your content.
To the fullest extent permitted by law, Wingerx and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill.
Our total liability for claims arising out of or relating to the Services is limited to the amounts you paid to Wingerx for the Services in the 12 months preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations; in those cases, the limitations apply to the maximum extent permitted.
You agree to defend, indemnify, and hold harmless Wingerx from and against claims arising from your use of the Services or violation of these Terms.
This includes claims related to Customer Data, integrations you enable, and your breach of law or third-party rights.
We will notify you of any claim and allow you to control the defense, provided you do so diligently; we may participate at our own expense.
These Terms are governed by the laws of the State of Delaware, excluding its conflict of law rules.
Exclusive jurisdiction and venue lie in the state or federal courts located in Delaware.
Each party waives objections to personal jurisdiction and venue in those courts.
Nothing prevents a party from seeking injunctive relief to protect confidential information or intellectual property.
Wingerx may update these Terms from time to time.
We will post updates and, where required, provide additional notice (e.g., email or in-app).
Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
If you do not agree to the changes, you must stop using the Services and, if applicable, cancel your subscription.
Additional legal terms that apply to the interpretation and enforceability of these Terms.
Severability: if any provision is unenforceable, the remainder remains in effect.
Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
Force Majeure: neither party is liable for delays or failures due to events beyond reasonable control.
No Waiver: failure to enforce a provision is not a waiver of the right to enforce it later.
